IMPORTANT NOTICE: These Terms include a binding arbitration agreement and class action waiver in Section 16. You may opt out of arbitration within 30 days as described in Section 16.6.

1. Acceptance of Terms

These Terms are a binding legal agreement between you and Tigrate Technology L.L.C. and govern your access to and use of the websites at tigratech.ai and related services that link to these Terms (collectively, the "Offerings"). By using the Offerings, you agree to these Terms and to our Privacy Policy.

2. Supplemental Terms

Certain offerings may be subject to additional service-specific or commercial terms ("Supplemental Terms"). If there is a conflict, Supplemental Terms control for the applicable service.

3. Eligibility

You must be at least 18 years old (or age of majority in your jurisdiction).
You must have legal capacity to enter a binding contract.
You must comply with applicable export controls and sanctions laws.
If using the Offerings for an organization, you represent you have authority to bind that organization.

4. Accounts (when applicable)

Some services may require accounts. You are responsible for account confidentiality and activities under your credentials. Notify us promptly of unauthorized use at legal@tigratech.ai.

5. Permitted Use and License

Subject to compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Offerings for lawful internal business or informational purposes.

No resale, sublicensing, or unauthorized commercial exploitation.
No scraping/crawling except permitted indexing or written permission.
No use to build competing products or train competing ML systems from our protected content.

6. Prohibited Conduct

No unlawful, fraudulent, or deceptive activity.
No malware, unauthorized access attempts, or security circumvention.
No denial-of-service or actions causing unreasonable infrastructure load.
No reverse engineering except where expressly allowed by applicable law.

7. Intellectual Property and Feedback

The Offerings and all related content, branding, trademarks, and materials are owned by Tigrate Technology L.L.C. or its licensors and protected by applicable intellectual property laws.

If you submit feedback, you grant us a worldwide, royalty-free license to use it for product and business improvement purposes without compensation.

8. DMCA and Copyright Claims

For copyright claims, contact our DMCA channel at legal@tigratech.ai with subject line "DMCA Notice" and include the information required by 17 U.S.C. § 512(c).

9. Privacy

Your use of the Offerings is subject to our Privacy Policy, incorporated by reference.

10. Third-Party Services

The Offerings may link to third-party services we do not own or control. We are not responsible for third-party content, policies, or practices.

11. Beta and Preview Features

Beta/preview features are provided "AS IS" and may be modified, suspended, or discontinued at any time.

12. No Professional Advice

The Offerings do not constitute legal, financial, tax, regulatory, compliance, or investment advice. You are responsible for obtaining independent professional advice where needed.

13. Disclaimers

To the maximum extent permitted by law, Offerings are provided "AS IS" and "AS AVAILABLE" without warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and accuracy.

14. Limitation of Liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages.
Aggregate liability for claims related to these Terms or the Offerings is limited to the greater of: (a) amounts paid by you to us for the relevant offering in the 12 months preceding the claim, or (b) USD 100.
Where limitations are not allowed by law, they apply to the maximum extent legally permitted.

15. Indemnification

You agree to defend, indemnify, and hold harmless Tigrate Technology L.L.C. and its affiliates, officers, employees, licensors, and service providers from claims arising out of your use of the Offerings, your content, or your violation of these Terms or applicable law.

16. Dispute Resolution; Arbitration; Class Action Waiver

Before formal proceedings, parties agree to a 60-day informal resolution process via written notice to legal@tigratech.ai.

If unresolved, disputes are resolved by binding individual arbitration administered by the AAA under applicable rules and governed by the Federal Arbitration Act.

Class Action Waiver: disputes must be brought individually, not as class, collective, or representative actions.

Jury Trial Waiver: to the extent a dispute proceeds in court, both parties waive jury trial.

Exceptions include claims for injunctive IP relief, eligible small-claims matters, and disputes that cannot be arbitrated by law. You may opt out of arbitration within 30 days by emailing legal@tigratech.ai with required identifying details.

Governing law is Texas law. If arbitration does not apply, exclusive venue is state/federal courts in Collin County or Dallas County, Texas. Claims must be brought within one (1) year where legally permitted.

17. Changes to Offerings and Terms

We may modify, suspend, or discontinue Offerings at any time. We may also revise these Terms by posting updates and changing the "Last Updated" date. Continued use after effectiveness constitutes acceptance.

18. General Provisions

Entire Agreement: these Terms, Privacy Policy, and Supplemental Terms form the full agreement.
Severability: invalid provisions are severed; remaining terms stay enforceable.
No Waiver: failure to enforce is not a waiver.
Assignment: you may not assign without consent; we may assign in corporate transactions.
No Third-Party Beneficiaries: except as expressly stated.
Force Majeure: no liability for delays caused by events beyond reasonable control.
Electronic Communications: electronic notices/acceptance satisfy writing/signature requirements.
